10. Indemnification
You agree to defend, indemnify, and hold harmless Moda Material, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against all claims, losses, liabilities, damages, judgments, awards, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of this Agreement or your use of the Website, including your User Contributions and any use of Website content, services, or information other than as expressly authorized here.
11. Governing Law and Jurisdiction
All matters related to the Website and this Agreement, and any dispute or claim arising out of or related to them (including non-contractual disputes or claims), are governed by the internal laws of the State of Michigan, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to this Agreement or the Website shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect, except as modified herein. The arbitration shall take place in the State of Michigan or remotely by video conference, at the arbitrator’s discretion.
The arbitrator shall have exclusive authority to resolve disputes regarding the interpretation, applicability, enforceability, or formation of this Agreement. Judgment on the award may be entered in any court of competent jurisdiction. Each party shall bear its own costs and attorneys’ fees and share equally the arbitrator’s fees and administrative costs unless the arbitrator decides otherwise. YOU AGREE TO WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
12. Arbitration
At our sole discretion, we may require you to submit any disputes arising from or related to this Agreement or the Website—including issues concerning interpretation, breach, invalidity, or termination—to final and binding arbitration under the AAA’s rules applying Michigan law. This provision does not preclude either party from seeking injunctive or equitable relief for intellectual property or data security matters in a court of competent jurisdiction.
13. Limitation on Time to File Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
14. Waiver and Severability
No waiver by Moda Material of any term or condition set forth in this Agreement shall be deemed a further or continuing waiver of such term or a waiver of any other term. Any failure to enforce a provision shall not constitute a waiver of that provision or any other provision. If any provision is held invalid, illegal, or unenforceable, that provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
15. Entire Agreement
This Agreement, together with our Privacy Policy and any other policies or rules posted on the Website, constitutes the entire agreement between you and Moda Material regarding the Website and supersedes all prior and contemporaneous understandings or agreements, whether written or oral, concerning the Website.
